Terms & Conditions
The following terms and conditions govern all services provided by Techniax Solutions, including but not limited to website development, design, digital marketing, and access to Techniax Solutions’ website (the “Services”). These terms apply to all clients and users (“Client”) who accept a quotation, purchase, or use the Services provided by Techniax Solutions (“Techniax”), unless otherwise agreed upon in writing.
1. Charges
1.1 Charges for the Services are defined in the project quotation received by the Client from Techniax Solutions via email. Quotations are valid for seven (7) days unless otherwise stated. Techniax Solutions reserves the right to alter or withdraw a quotation after the expiration of this period.
1.2 For website design and development services, an advance payment of fifty (50) percent of the total project quotation is required before work commences. An additional thirty (30) percent is due after the design phase and client review, with the final twenty (20) percent payable within seven (7) days of project completion.
1.3 The Client agrees to reimburse Techniax Solutions for any additional expenses necessary for the completion of the work, including but not limited to domain names, fonts, and stock photography. All charges are exclusive of GST.
2. Invoicing and Payment
2.1 Techniax Solutions will submit invoices according to the agreed schedule. Payment is due upon receipt of the invoice. Payments must be made via bank transfer, with details provided on the invoice.
2.2 Late payments will incur interest at a rate of 4% per annum above the Reserve Bank of India’s base rate, accruing daily from the due date until payment is received.
2.3 Accounts unpaid thirty (30) days after the invoice date will be considered in default, and Techniax Solutions may remove any client files or information from its servers until payment is made. The Client is responsible for any loss of data resulting from such removal.
3. Website Access and Use
3.1 Access to Techniax Solutions’ website is provided on a temporary basis, and we reserve the right to withdraw or amend the services we provide without notice. We will not be liable if for any reason our website is unavailable at any time or for any period.
3.2 Unauthorized use of our website or its contents is prohibited. This includes but is not limited to copying, modifying, distributing, transmitting, reproducing, publishing, or creating derivative works from the website content without prior consent from Techniax Solutions.
4. Change Control Process
4.1 Any requests for changes to the project scope after the commencement of work will be assessed by Techniax Solutions. Changes may be subject to additional costs, and the project timeline may be adjusted accordingly.
5. Client Review and Feedback
5.1 Techniax Solutions will provide the Client with opportunities to review the appearance and content of the website during the design phase and upon completion. The Client must provide feedback within seven (7) days; otherwise, the work will be deemed accepted.
6. Turnaround Time and Content Control
6.1 Techniax Solutions will deliver the Services by the agreed-upon date, provided that the Client supplies all necessary information and materials promptly. Delays caused by the Client’s failure to provide such materials may result in additional charges or project timeline extensions.
7. Web Browser Compatibility
7.1 Techniax Solutions designs websites to function on current popular browsers. We do not guarantee that websites will work with future versions of browsers or across all operating systems unless specifically agreed upon.
8. Termination
8.1 The Client may terminate the Services by providing written notice. Techniax Solutions will invoice for work completed up to the termination date, and payment will be due within thirty (30) days.
9. Intellectual Property
9.1 All intellectual property rights, including Background IP (pre-existing intellectual property) and Foreground IP (intellectual property created during the project), remain with their respective owners. The Client grants Techniax Solutions a non-exclusive license to use materials provided for the duration of the project.
9.2 The Client is responsible for ensuring that all materials provided to Techniax Solutions do not infringe on third-party intellectual property rights.
10. Confidentiality
10.1 Both parties agree to maintain the confidentiality of any information disclosed during the course of the project. This obligation extends beyond the termination of the agreement.
11. Data Protection
11.1 Both parties will comply with applicable data protection laws, including the Indian IT Act. Techniax Solutions processes personal data only as instructed by the Client and implements appropriate measures to ensure data security.
12. Design Credit and Marketing
12.1 Techniax Solutions reserves the right to include a design credit on the Client’s website. Additionally, the Client agrees that their project may be showcased in Techniax Solutions’ portfolio.
13. Third-Party Servers and Software
13.1 If the Client chooses to host their website on a third-party server, Techniax Solutions is not responsible for compatibility issues. Additional charges may apply for configuration assistance.
13.2 Any third-party software provided by Techniax Solutions will be governed by the licensor’s standard terms.
14. Liability
14.1 Techniax Solutions will not be liable for any indirect or consequential losses arising from the Services provided, including but not limited to loss of profit, data, or business opportunities. The total liability is limited to the amount paid by the Client for the Services.
15. Governing Law and Jurisdiction
15.1 These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Ludhiana, Punjab, India.

By engaging Techniax Solutions for any services or by accessing our website, the Client agrees to these terms and conditions. We are committed to providing high-quality services and ensuring client satisfaction, and these terms are designed to protect both parties’ interests.
